    Terms and conditions

These terms govern the services of Four Free LLC (Suite 225C, 2880 W Oakland Park Blvd, Oakland Park, FL 33311, USA, represented by Florian Prensena, CEO), trading as Your Hotel, Twój Hotel and Dein Hotel (“the Agency”).

    1. Scope

1.1. These terms apply to all services the Agency provides to businesses, in particular owners and operators of hotels, guesthouses, apartments and other accommodation (“the Client”). Our services are not offered to consumers.

1.2. Terms in an individual contract or offer take precedence over these terms. The Client’s own terms and conditions do not apply unless the Agency expressly agrees to them in writing.

    2. Services

2.1. The Agency designs and builds websites and direct booking systems, integrates payments, invoicing and calendars, and provides hosting, technical maintenance, online marketing, content creation and video production.

2.2. Our services are offered as packages. The scope, price and billing period of a package are set out in its description at the time of ordering. The Agency may offer services beyond a package in an individual quote.

    3. Conclusion of contract

3.1. The packages shown on the website are not a binding offer but an invitation to place an order.

3.2. The Client places an order by choosing a package, accepting these terms and paying in the checkout. The contract is concluded when the Agency confirms the order by email.

3.3. Individual quotes are accepted in writing or by email; the contract is then concluded on acceptance.

    4. Client’s obligations

4.1. The Client provides the materials, content, access details and information needed for the project on time and gives approvals at each stage.

4.2. The Client warrants that it holds the rights to all materials it supplies (texts, photos, logos, videos) and that their use does not infringe third-party rights. The Client indemnifies the Agency against third-party claims arising from such materials.

4.3. Delays on the Client’s side extend agreed deadlines accordingly. The Agency may charge separately, after prior notice, for extra work caused by such delays or by changes to the scope.

    5. Deadlines and acceptance

5.1. Deadlines are binding only if expressly agreed as binding.

5.2. Once the Agency reports that work is ready, the Client reviews it within 10 working days and reports any defects. The work is deemed accepted if no defects are reported within that period or once the website goes live. Minor defects do not entitle the Client to refuse acceptance.

    6. Fees and payment

6.1. The prices shown for the package at the time of ordering, or those in an individual quote, apply. All prices are net; taxes such as VAT are added as required by law and shown before the order is placed.

6.2. Payment is due immediately when the order is placed, through the payment providers available in the checkout. The Agency starts work once payment has been received. For individual quotes, the payment terms stated in the quote apply.

6.3. Subscription packages are paid in advance for each billing period. Renewal payments are charged automatically at the start of each period using the payment method the Client selected. The Agency issues an invoice once payment has been received.

6.4. If a payment fails, the Agency informs the Client. If the amount is not paid within 14 days of that notice, the Agency may suspend the services until payment is made.

    7. Term and termination

7.1. Subscription packages run for the billing period stated in the package description (e.g. one month or one year) and renew automatically for another period of the same length. If the package description sets a minimum term, it applies from the conclusion of the contract.

7.2. Either party may cancel a package with effect from the end of the current billing period (at the earliest at the end of the minimum term). Fees for a period that has already started are not refunded unless the contract is terminated for good cause attributable to the Agency.

7.3. The right to terminate without notice for good cause is unaffected. Notice of termination must be given in writing or by email.

7.4. When the contract ends, the Agency will, on request, hand over the Client’s content and data in a common format. Software licensed by the Agency (e.g. the booking system) is no longer available after the contract ends.

    8. Rights of use

8.1. Once the full fee has been paid, the Client may use the work created specifically for it (e.g. design, texts, photos, videos) to the extent needed for the purpose of the contract, unless the contract states otherwise.

8.2. Rights to software, the booking system, templates, tools and reusable solutions remain with the Agency or its licensors. The Client receives a non-exclusive licence to use them for the term of the contract.

8.3. The Agency may name the Client and show the completed project as a reference unless the Client objects.

    9. Third-party services

9.1. Some features require third-party services such as payment providers, channel managers, property management systems or booking portals. The Client contracts with these providers in its own name and accepts their terms and fees.

9.2. The Agency is not liable for the availability, changes or errors of third-party services, including changes to their interfaces.

    10. Hosting and availability

10.1. The Agency takes due care to keep hosted websites and systems highly available and makes regular backups. A specific availability level applies only if agreed in the contract (SLA).

10.2. Where possible, the Agency schedules maintenance downtime for updates at times of low traffic.

    11. Warranty

11.1. The Agency remedies reported defects in its work within a reasonable time, primarily by correcting or redoing the work.

11.2. The Agency is not responsible for defects caused by materials supplied by the Client, by changes made by the Client or third parties, or by improper use of the system.

    12. Liability

12.1. The Agency is liable without limitation for damage caused intentionally or through gross negligence and for personal injury.

12.2. In all other cases the Agency is liable only for breach of essential contractual obligations and only for damage that is typical and foreseeable at the time the contract was concluded, in total no more than the fees paid by the Client in the 12 months before the event causing the damage. Liability for loss of profit is excluded.

    13. Data protection and confidentiality

13.1. Where the Agency processes personal data on the Client’s behalf, for example guest data in the booking system, the parties conclude a data processing agreement under Art. 28 GDPR.

13.2. Both parties keep confidential any confidential information of the other party obtained through the cooperation, also after the contract ends.

    14. Final provisions

14.1. Changes and additions to the contract must be made in writing; email is sufficient.

14.2. Unless the contract states otherwise, the laws of the State of Florida (USA) apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

14.3. If any provision is invalid, the remaining provisions stay in force. The invalid provision is replaced by the one that comes closest to its economic purpose.

14.4. These terms are available in English, Polish and German. In case of discrepancies, the language version of the contract concluded with the Client prevails.
